TERMS AND CONDITIONS
1. Applicability & Acceptance These Terms and Conditions supersede any prior agreements or client-issued terms. By placing an order or accepting a quotation from Salyani Technologies, the Client agrees to be bound by these terms. Any deviations or amendments must be explicitly agreed upon in writing by an authorized representative of Salyani Technologies.
2. Payment Terms Invoices are payable within 21 working days from the date of issue, unless otherwise specified in the quotation or contract.
Late Payments: In the event of non-payment by the due date, Salyani Technologies reserves the right to charge interest at the rate of 12% per annum on the outstanding balance.
Service Suspension: Salyani Technologies reserves the right to suspend all ongoing services, technical support, or project deliverables without prior notice if payments remain outstanding beyond the due date.
3. Debt Recovery & Legal Expenses If payment remains outstanding for more than 60 days, Salyani Technologies reserves the right to initiate formal legal recovery proceedings. The Client shall be liable for all reasonable legal fees, court costs, and collection expenses incurred by Salyani Technologies in the process of recovering the debt.
4. Taxes & Withholding All invoice amounts are net of any applicable taxes. If the Client is required by law to withhold any taxes (e.g., TDS) from payments, the Client shall provide valid tax deduction certificates within the timeframe stipulated by the Income Tax Act of Nepal. The invoice amount must be remitted to Salyani Technologies in its entirety; any tax-related costs or fluctuations in tax legislation remain the sole responsibility of the Client.
5. Performance & Liability Salyani Technologies commits to providing high-quality services within the agreed timeframes. While we utilize industry best practices, technology services are subject to environmental variables. Salyani Technologies shall not be liable for indirect, incidental, or consequential damages. Furthermore, Salyani Technologies is not responsible for any claims brought against the Client by third parties or end-users arising from the Client’s use of our services.
6. Claims & Notifications Any claims regarding defects in goods, service quality, or billing discrepancies must be reported in writing (via email to the registered office address or official company communication channels) within 8 business days of delivery or invoice receipt. Failure to notify us within this period constitutes acceptance of the goods/services.
7. Governing Law & Jurisdiction All contractual relations and disputes arising between Salyani Technologies and the Client shall be governed exclusively by the laws of Nepal. Any disputes that cannot be settled amicably shall be subject to the exclusive jurisdiction of the competent courts in Kathmandu, Nepal.
